WEB FONT SOFTWARE
END USER LICENSE AGREEMENT (EULA)

IMPORTANT! Please read the contents of this Licensing Agreement carefully before you install Hanken Design Co. fonts or software. This agreement defines your rights as a user of the fonts and/or software. If you do not agree to the terms of this Agreement, promptly delete the font file(s) and return the disk package and any other items (including any printed material or other containers) which are part of this product to the place where you obtained them and delete all copies of the product. All rights to distribute enclosed fonts with this EULA belong to Hanken Design Co.

LICENSING AGREEMENT

This Web Font Software End User License Agreement (“License” or “Agreement”) is a legal agreement between you or the company, organization or other legal entity that you represent (“the Licensee”) and Hanken Design Co. (“the Licensor”). By obtaining and/or installing delivered software, you agree to the terms and conditions set forth in this Agreement. This is the agreement for all Web font(s) by Hanken Design Co. unless a specific license is included within the purchased font package(s).

1. TERMS AND DEFINITIONS

1.1 “Web Font Software” (hereinafter “Web Font”): Any web font in any digital format.

1.2 “Web Server”: A Web server is a computer program that serves requested HTML pages or files. In this case, a Web browser acts as the client.

1.3 “Basic Web Font License”: A license that grants to a user of purchased Web Font(s) the set of rights listed in this Licensing Agreement.

1.4 “Additional License”: An extension to the Web Font License that confers additional rights. It includes but not limited to the right to modify the Web Font, installation on server unit and the use of font on website/content management system template bundling and web applications.

1.5 “Licensee”: A person, company, organization, or agency to whom the license is granted or issued.

1.6 “Licensor”: Pertains to Hanken Design Co.

1.7 “Hanken Design Co.”: A company established by Alfredo Marco Pradil and partners that design and develop fonts for individuals, institutions, organisations and companies. It is a company registered in the Philippines with office located in Lt. Col. Atienza St. corner Lopez Jaena St. 3rd flr., Buenafe Bldg., Brgy. 2, Batangas City Batangas, Philippines

2. GRANT OF LICENSE AND RESTRICTIONS

2.1 Non-Exclusivity
This basic web font license grants the Licensee a limited and non-exclusive right to use the Font Software in the manner set forth in this agreement.

2.2 Web Font Usage
Licensee may use the Web Font(s) for commercial and non-commercial purposes on any number of websites that belongs to the Licensee.

2.3 Backup copying
Licensee may make one copy of the Web Font(s) for archival purposes. Upon termination of Agreement, Licensee must destroy the original and all copies of the Web Font(s).

2.4 Transfer to third parties
Licensee may not install and use the purchased Web Font(s) on Web Server(s) that belong to other persons or companies. Except as expressly provided herein, Licensee may not give, rent, lease or make available the Font or parts of it to third parties. Licensee may completely transfer the license to another person or legal entity, provided that the Licensee stop using the Web Font(s), destroy all copies of the Web Font(s) and send a written notice about the change of licensee to the place of purchase of the Web Font(s) with registration information about the new licensee, including the licensee’s name and address.

2.5 Distribution
Licensee may not distribute the Web Font(s) or any part of the Web Font(s) in a commercial or non-commercial manner, either as a standalone product, or bundled with other software or hardware. Licensee must provide the necessary protection against unauthorized access to the Web Font(s).

2.6 Modifications
Licensee may not modify, adapt, translate, reverse engineer, decompile, disassemble, alter, or attempt to discover the source code of the Web Font(s). Any such use requires Additional License from the Licensor. Any derivative Web Font(s) created under such Additional License will be completely owned by the Licensor. Licensee may use them in accordance with the restrictions indicated in current Agreement.

3. TERMINATION

This Agreement is valid in all territories and has no expiration date. However, this Agreement will terminate automatically if the Licensee fail to comply with any provision contained herein. In this case, Licensee must stop using the Web Font(s) and destroy all copies of the Web Font(s).

4. NO WARRANTY

The Web Font Software is provided “AS IS”, without warranty of any kind, express or implied, including but not limited to any warranties of merchantability, fitness for a particular purpose and noninfringement of third-party rights.

5. INTELLECTUAL PROPERTY

Licensee acknowledges that the Licensor owns all intellectual and industrial property right, title and interest in and to the Web Font Software. Licensee agrees that the Web Font Software is protected by the copyright law and international treaties and should treat the Web Font software in the same manner as the Licensee would to any other copyrighted material.

4. DISCLAIMER

THE LICENSOR DISCLAIMS ALL LIABILITY FOR INCIDENTAL, INDIRECT, SPECIAL, AND CONSEQUENTIAL DAMAGES INCLUDING ANY PROFIT LOSS, COMPUTER FAILURE OR MALFUNCTION, LOSS OF DATA OR BUSINESS INTERRUPTION WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF THE USE OR INABILITY TO USE THE WEB FONT SOFTWARE OR FROM OTHER DEALINGS IN THE WEB FONT SOFTWARE. IN NO EVENT SHALL LICENSOR’S TOTAL LIABILITY TO COMPENSATE FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY THE LICENSEE UNDER THIS AGREEMENT.
