This End User License Agreement (the "Agreement") is a legal contract between you (the "Licensee") and Hanken Design Co.®, a company registered in the Republic of the Philippines with principal offices located at Lt. Col. Atienza St. corner Lopez Jaena St. 3rd flr., Buenafe Bldg., Brgy. 2, Batangas City Batangas, Philippines (the "Licensor"). By downloading, installing, or using the Font Software included in this Bundle, you agree to be bound by the terms of this Agreement.

1. DEFINITIONS

For the purposes of this Agreement, the following terms shall have the meanings set forth below:

1.1. "Font Software": Refers to the digital files (including but not limited to .OTF, .TTF, or other formats) containing the data, code, and glyphs that render the typeface designs. This includes all 26 families contained within the HDC Font Bundle 2026: Arca Majora, Grantipo, Hanken Sans, HeyWow, HK Compression, HK Explorer Sharp, HK Focus Title, HK Gothic, HK Gothic No. 2, HK Grotesk Pro, HK Sentiments, Monoist, Neo Hans, Neue Hans Kendrick, Nove Amore, Number 23, Nuova Volte, Okomito, Placid Armor, Polarity, Radnika, Reminisce, Rudimentary, Serif 420, Trinkle Sans, and Zwizz.

1.2. "Typeface": Refers to the artistic design, visual representation, and drawing of the letters, numbers, symbols, and glyphs embodied in the Font Software.

1.3. "Licensee" (or "You"): Refers to the individual, company, or organization that purchased the license and is authorized to use the Font Software. If you are purchasing on behalf of an employer, "Licensee" refers to the employer.

1.4. "Workstation": Refers to a specific computing device (e.g., desktop computer, laptop, notebook) owned, leased, or controlled by the Licensee where the Font Software is installed and used. This definition excludes servers (where the font is served to other users) or mobile devices used solely for viewing content.

1.5. "Commercial Use": Refers to the use of the Font Software to create materials (digital or physical) that are intended to promote a business, sell a product, or generate revenue. This includes client work, branding, advertising, and merchandise.

1.6. "Static Output": Refers to digital files or physical objects where the Typeface is rasterized or converted to vector outlines, meaning the Font Software itself is not embedded or required to view the content. Examples include: JPEG/PNG/TIFF images, printed posters, T-shirts, and EPS/PDF files where text is converted to outlines.

1.7. "Embedding": Refers to the inclusion of the Font Software code into a document, application, website, or hardware in a way that allows the recipient to edit text or extract the font file.

1.8. "Derivative Work": Refers to any modification, adaptation, or translation of the Font Software code. This includes converting the font file format (e.g., OTF to WOFF) or using software to alter the shape of the glyphs within the font file itself.

2. GRANT OF LICENSE

Hanken Design Co.® grants the Licensee a perpetual, non-exclusive, non-transferable, worldwide Desktop License to install and use the Font Software, subject to the following terms:

2.1. Authorized Users & Installations: The Licensee may install the Font Software on up to two (2) Workstations belonging to the Licensee. The Font Software may be used by the Licensee and their employees or authorized personnel within the same organization. The Licensee is fully responsible for all usage by their employees and authorized personnel and shall be liable for any breach of this Agreement by such users.

2.2. Backup Copies: The Licensee may make one (1) copy of the Font Software for archival or backup purposes only.

2.3. Compliance & Audit: The Licensee is obligated to maintain records regarding their use of the Font Software. Hanken Design Co.® reserves the right to request information to verify compliance with this Agreement. The Licensee agrees to provide such information within thirty (30) days of a request. If usage exceeds the licensed quantity, the Licensee must purchase the necessary additional licenses immediately.

3. PERMITTED USES

The Licensee is permitted to use the Font Software for the following:

3.1. Static Design & Organic Social Media: Creating static images and video content for organic (non-paid) branding, advertising, and social media posts (e.g., Instagram Reels, TikTok, YouTube Shorts), packaging, books, and magazines, provided the output is Static Output (rasterized or flattened).

3.2. Logo Creation: Creating logotypes and wordmarks. The Licensee is permitted to convert the Typeface characters into vector outlines (e.g., "Create Outlines" in Adobe Illustrator) and modify those vector shapes for the purpose of a logo.

3.3. Physical Products: Using the Font Software to design physical merchandise (e.g., clothing, mugs, signage) for sale or distribution, up to a limit of 250,000 units. For quantities exceeding this limit, an Extended Commercial License is required.

3.4. Document Embedding (PDF): Embedding the Font Software into portable documents (PDFs) solely for the purpose of print and viewing, provided the document is set to "View Only" and secure/non-editable.

4. RESTRICTIONS (PROHIBITED USES)

The following uses are NOT covered by this Desktop License and require a separate license:

4.1. No Webfont or Paid Digital Ad Usage: You may not use the Font Software for web pages using CSS @font-face. You may not embed the Font Software in email templates, HTML5 digital advertisements, rich media banners, or paid digital video advertisements (e.g., YouTube Pre-roll, Sponsored Social Media Posts).

4.2. No E-Books or Electronic Publishing: You may not embed the Font Software into electronic publications (e.g., .EPUB, .MOBI, Kindle) or digital books.

4.3. No Application or Game Embedding: You may not embed the Font Software into software applications, mobile apps, video games, or operating systems.

4.4. No Server Installation or DAMs: You may not install the Font Software on a server, local area network (LAN), or Digital Asset Management (DAM) system where it can be accessed by multiple users or workstations exceeding the limit defined in Section 2.1.

4.5. No Commercial Print Environments: You may not use the Font Software in a large-scale commercial printing environment (e.g., a print-on-demand service or automated customization platform) where the font is utilized by a server to generate output for third parties.

4.6. No Unauthorized Sharing: You may not share the Font Software files with other users, team members, or third parties beyond the Authorized Installations permitted in Section 2.1. Usage of the Font Software is strictly limited to the number of Workstations authorized under this license.

4.7. No Modifications or Letterform Sets: You may not modify, reverse engineer, decompile, or create Derivative Works based on the Font Software code. Additionally, you may not use the Font Software to create "alphabet products," "letter sets," or digital sticker packs where individual glyphs are rendered as standalone static images (e.g., PNGs of every letter) for the purpose of allowing third parties to combine them into words, effectively bypassing the need for the Font Software.

4.8. No Commercial Broadcasting: You may not use the Font Software for on-screen titles or graphics in broadcast television, feature-length films, or commercial streaming platforms (e.g., Netflix, Hulu, Disney+).

5. AI & EMERGING TECHNOLOGIES

5.1. No AI Training: You are strictly prohibited from using the Font Software, including its glyph shapes, code, or metadata, to train Artificial Intelligence (AI) models, Machine Learning (ML) algorithms, or generative AI systems.

6. INTELLECTUAL PROPERTY & TERMINATION

6.1. Ownership: The Font Software is licensed, not sold. Hanken Design Co.® retains all intellectual property rights, title, and interest in the Font Software and Typeface designs.

6.2. Termination: This Agreement is effective until terminated. Hanken Design Co.® reserves the right to terminate this Agreement immediately without financial refund if the Licensee fails to comply with any term hereof. Upon termination, the Licensee must destroy all copies of the Font Software.

7. DISCLAIMER & LIMITATION OF LIABILITY

7.1. Disclaimer of Warranties: The Font Software is provided "AS IS", without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

7.2. Limitation of Liability: In no event shall Hanken Design Co.® be liable for any claim, damages, or other liability, whether in an action of contract, tort, or otherwise, arising from, out of, or in connection with the Font Software or the use or other dealings in the Font Software. In no event shall the Licensor's liability exceed the replacement cost of the license fee paid by the Licensee.

8. GOVERNING LAW

8.1. Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles.

8.2. Dispute Resolution: Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts located in the Republic of the Philippines, and the parties hereby consent to the personal jurisdiction and venue therein.
